1. The Agreement

These Terms and Conditions constitute a legally binding agreement between Scaleify ("the Agency") and the Client ("you") regarding the provision of Amazon PPC Management and related marketing services. By clicking "Get My Custom Strategy," "Request Audit," or signing our engagement letter, you agree to these terms.

2. Services Provided

The Agency agrees to provide services as described in your specific proposal/contract, which may include:

  • Amazon PPC Audit & Strategy.

  • Ongoing Campaign Management (Sponsored Products, Sponsored Brands, Sponsored Display).

  • Keyword Research & Bid Optimization.

3. Client Obligations

To allow us to perform the services, you agree to:

  • Grant the Agency access to your Amazon Seller Central/Advertising Console.

  • Ensure your products comply with Amazon’s Terms of Service.

  • Pay all Amazon advertising costs directly to Amazon. The Agency is not responsible for funding your ad spend.

4. Fees and Payment

Service Fees: You agree to pay the management fees as set out in your specific proposal (e.g., flat fee or % of ad spend).

  • Ad Spend: All advertising budgets are paid directly by you to Amazon. We do not handle your ad spend budget in our bank accounts.

  • Late Payments: We reserve the right to pause work if invoices are not paid within [Insert Days, e.g., 7 days] of the due date.

6. Intellectual Property & Confidentiality

Your Data: You retain ownership of your Amazon account and all creative assets you provide.

  • Our Methods: The Agency retains ownership of its proprietary strategies, custom scripts, and audit frameworks.

  • Confidentiality: Both parties agree to keep all proprietary business information (margins, strategies, data) strictly confidential.

7. Termination

Notice Period: Either party may terminate the agreement with 30 days written notice.

  • Immediate Termination: We may terminate immediately if you breach these terms or fail to pay fees.

8. Limitation of Liability

To the fullest extent permitted by English law, the Agency’s total liability to the Client for any claim arising out of these terms shall be limited to the total fees paid by the Client to the Agency in the three (3) months preceding the claim.


9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

What happens if my account health is at risk?

We have a dedicated Account Health team to protect you. If issues arise, we handle the appeals and communicate directly with Amazon Support to resolve them quickly, ensuring your shop stays open.

Do you handle the shipping and fulfilment?

We manage the strategy—telling you exactly how much stock to send and when—but you (or your prep centre) are responsible for physically shipping the goods to Amazon’s Fulfilment Centres (FBA).

How does your pricing work?

We believe in fair partnerships. We operate on a transparent monthly retainer, and for larger brands, we offer performance-based models. This ensures our incentives are aligned: we only win when you grow.

Is there a long lock-in contract?

We are confident in our results, so we don't need to trap you. We typically work on a rolling 3-month basis, which gives our strategy enough time to bed in without locking you down for years.

Do you work with startups or just established brands?

We primarily work with brands already generating revenue (£10k+ / month), but we do have a "Launchpad" programme for high-potential startups who have the budget to invest in aggressive growth from day one.
